Terms of Service

Last updated: September 30, 2026

These Terms of Service (“Terms”) govern access to and use of RoRo, a software-as-a-service platform provided by Rodland Private Members LLC (“Company,” “RoRo,” “we,” “us,” or “our”) that helps real estate brokerages automate brokerage operations, manage agents and clients, track deals, run marketing workflows, send automated emails, manage documents, and connect business tools such as accounting, invoicing, marketing, and verification systems. These Terms cover our website at rodlandintelligence.com and the platform at dashboard.rodlandintelligence.com (together, the “Services”). By creating an account or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Use of the Platform

RoRo is intended for real estate brokerages, brokers, agents, administrators, and authorized team members. You must be at least 18 years old and able to form a binding contract to use the Services. You may use the platform only for lawful brokerage, real estate, marketing, administrative, transaction, document, invoicing, and business management purposes.

You are responsible for all activity under your account and for ensuring that your use of RoRo complies with applicable real estate, advertising, privacy, consumer protection, anti-spam, accounting, tax, and professional licensing requirements.

2. Accounts and Permissions

Brokerage owners and administrators may invite users, assign roles, manage team access, configure integrations, and control access to client, agent, deal, document, marketing, payment, and workflow data. You must provide accurate account information and keep your credentials secure, and you must notify us promptly of any unauthorized use of your account.

You may not share login credentials, access another user’s account without permission, bypass access controls, or use RoRo in a way that interferes with the platform or another customer’s data.

3. Customer Data

Brokerages retain responsibility for the client, lead, agent, listing, transaction, document, communication, and invoice data they submit to RoRo. You represent that you have the rights, notices, consents, and authority necessary to upload, process, automate, share, and synchronize that data through the platform.

RoRo may process customer data to provide the Services, support users, secure the platform, perform integrations, and troubleshoot issues, as described in our Privacy Policy and applicable agreements.

4. Automation and Communications

RoRo may help users send automated emails, campaign messages, follow-ups, reminders, client updates, document notices, and other workflow communications. You are responsible for reviewing message content, recipient lists, personalization, timing, opt-out rules, and compliance before enabling or sending automated communications.

RoRo does not guarantee that automated marketing, email, lead follow-up, deal management, or reporting features will produce any specific business outcome, closed transaction, commission, revenue, ranking, or client response.

5. Integrations

The platform may connect to third-party services such as Google (Gmail, Calendar, and Contacts), QuickBooks, email providers, marketing platforms, document tools, payment processors, verification providers, and analytics services. These integrations are optional, and you may disconnect any of them at any time from RoRo Settings. Your use of those services is governed by their own terms and policies.

You authorize RoRo to access, transmit, store, and process data from connected services only as needed to provide the integration features you have enabled, and only as described in our Privacy Policy. Data received from Google APIs is used only as described in Section 5 of the Privacy Policy and in accordance with the Google API Services User Data Policy, including its Limited Use requirements.

RoRo is not responsible for third-party service outages, changes, fees, errors, security practices, or data handling outside our control.

6. Fees and Subscriptions

Paid subscriptions, implementation fees, integration fees, usage fees, or other charges are billed according to the order form, subscription plan, invoice, or written agreement that applies to your account. Unless otherwise stated, fees are due when billed and are non-refundable except as described in the Refund Policy or as required by law. We may change fees with prospective notice.

7. Acceptable Use

You may not use RoRo to send unlawful, misleading, harassing, infringing, discriminatory, fraudulent, spam, or unauthorized communications. You may not upload malicious code, scrape the Services, overload infrastructure, reverse engineer the platform, resell access without permission, misrepresent your identity or your authority to act for a brokerage, or use RoRo to violate the rights of any person or organization.

8. Intellectual Property

RoRo and its software, designs, workflows, interfaces, documentation, automation logic, trademarks, and related materials are owned by Company or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your subscription term. No other ownership rights are transferred to you.

You retain ownership of your brokerage and customer data, subject to the rights Company needs to provide the Services.

9. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services, with notice where reasonably practicable. When your access ends, your right to use the Services ends, and we will handle your data as described in our Privacy Policy and applicable agreements.

10. Disclaimers

RoRo is provided on an “as is” and “as available” basis, except as expressly stated in a written agreement, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

We do not provide legal, tax, accounting, real estate brokerage, financial, or compliance advice through the platform.

11. Limitation of Liability

To the maximum extent permitted by law, Company will not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from use of the platform, integrations, automations, communications, or business decisions made using RoRo. Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid us in the twelve (12) months before the claim.

12. Indemnification

You agree to indemnify and hold Company harmless from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party, including your clients.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved in the forum specified in your applicable order form or, if none is specified, in the state or federal courts located in New York County, New York.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version at rodlandintelligence.com/terms-of-service and update the “Last updated” date above. Continued use of RoRo after an update means you accept the revised Terms, unless a separate written agreement states otherwise.
